FalseGreen Code Verification Service Order

Version 1.0 — August 27, 2026

This Code Verification Service Order (“Service Order”) is entered into between StableThread, Inc., doing business as FalseGreen (“FalseGreen”) and the business identified as Customer at checkout (“Customer”).

This Service Order incorporates the FalseGreen Engineering Services Agreement, Version 1.0 (“Agreement”). Capitalized terms not defined here have the meanings given in the Agreement.

1. Service

Customer is purchasing one FalseGreen Code Verification Service engagement.

The Service is a high-touch, fixed-fee professional engineering engagement in which FalseGreen defines and independently performs verification work for a specifically bounded consequential software change or system behavior. FalseGreen may normalize requirements, prepare the verification plan, execute agreed checks, evaluate evidence, coordinate repair and reverification where included, and deliver a scope-limited result and report.

The Service is not a codebase-wide certification that the software is correct, secure, safe, compliant, defect-free, or suitable for every production environment.

2. Fee and Payment

Total fixed fee: USD $19,999.

The full $19,999 fee is due at checkout before scope confirmation or Substantive Performance begins.

No recurring subscription or ongoing commitment is created by this Service Order. Work outside the confirmed scope requires a separate or amended Service Order.

3. Scope Intake and Confirmation

3.1 Intake

After purchase, Customer will provide information reasonably necessary to define the engagement, which may include:

• the consequential software change, behavior, or outcome to be verified;
• repository, source, artifact, configuration, infrastructure, or environment information;
• material requirements, constraints, invariants, permissions, state changes, and failure conditions;
• acceptance criteria and evidence requirements;
• relevant tests, build instructions, runtime information, dependencies, and known limitations;
• required technical access; and
• restrictions on external tools, AI-assisted tools, data, or environments.

3.2 Code Verification Scope Confirmation

FalseGreen will prepare a final Code Verification Scope Confirmation before Substantive Performance begins.

The Code Verification Scope Confirmation will identify, as reasonably applicable:

1. the bounded software work, system behavior, or engineering outcome;
2. the exact source, artifact, configuration, or environment to which the engagement applies;
3. material requirements and acceptance criteria;
4. verification methods and required evidence;
5. available environments and access;
6. repair and reverification work, if included;
7. target timing and Customer dependencies;
8. material assumptions, limitations, and exclusions; and
9. an immutable identifier, version, date, cryptographic hash, or other reasonably reliable unique identifier.

3.3 Separate Customer Approval Required

Customer must separately and affirmatively approve the exact Code Verification Scope Confirmation before Substantive Performance begins.

Customer may approve through an explicit web control, electronic signature, clear affirmative email response identifying the exact record, or another electronic process that reasonably demonstrates assent to that record.

Checkout, payment, delivery of Customer Materials, participation in discussions, silence, or failure to object does not constitute approval of the Code Verification Scope Confirmation.

After Customer approval, the Code Verification Scope Confirmation becomes part of this Service Order and establishes the technical scope against which the Service will be performed. FalseGreen will preserve the confirmed record, its identifier, Customer's approval, the approval timestamp, and any mutually agreed amendment in accordance with the Agreement.

3.4 Declined or Unagreed Scope

If FalseGreen determines before Substantive Performance begins that the proposed engagement is unsuitable, materially larger than the Service reasonably supports, technically infeasible, or subject to restrictions under which FalseGreen cannot reasonably perform it, FalseGreen may decline the engagement.

In that case, Customer will receive a full refund of the $19,999 paid at checkout, with no deduction for payment-processing or administrative charges.

If FalseGreen proposes a materially revised scope and Customer does not affirmatively approve it before Substantive Performance begins, Customer receives the same full refund.

4. Included Verification Work

Subject to the confirmed Code Verification Scope Confirmation, FalseGreen will perform an independent technical engagement reasonably designed to evaluate whether the scoped result satisfies its stated requirements.

Depending on the scope, the Service may include:

1. requirements normalization and acceptance-criteria design;
2. verification planning and evidence design;
3. review of the exact source, artifact, configuration, or environment under examination;
4. review of relevant tests and existing evidence;
5. independent test creation or targeted technical checks;
6. build, test, static-analysis, runtime, integration, proof, artifact, or failure-path analysis;
7. evaluation of assumptions, error handling, state transitions, consistency, recovery behavior, and boundary conditions where relevant;
8. criterion-level evaluation outside the implementation team's completion claim;
9. identification of material defects, unsupported claims, missing evidence, or verification limitations;
10. repair coordination and reverification where expressly included; and
11. preparation of the Deliverables described below.

Not every technique listed above will be appropriate or necessary for every engagement. FalseGreen selects methods based on the confirmed scope and available evidence.

5. Deliverables

FalseGreen will provide a Code Verification Report containing, as reasonably applicable:

• the confirmed Code Verification Scope Confirmation;
• the exact source, artifact, configuration, or environment observed;
• the material requirements and acceptance criteria;
• verification methods, checks, commands, observations, and evidence;
• criterion-level findings;
• known limitations, exclusions, and unresolved conditions;
• repair and reverification information where included; and
• a result of Accepted, Failed, or Incomplete for the confirmed scope.

Accepted means the evidence observed for the engagement established the required criteria within the confirmed scope.

Failed means the evidence demonstrated that one or more required criteria were not satisfied.

Incomplete means available evidence, access, environment, observability, or execution could not establish the complete confirmed boundary.

Each result is bounded by the confirmed scope, exact observed source or artifact, assumptions, methods, environment, and evidence. It is not a representation about work outside that boundary.

6. Target Service Window

The target service window, milestones, and Customer dependencies will be identified in the Code Verification Scope Confirmation.

Any stated timing is a good-faith target and not a guaranteed deadline. Timing may be affected by scope complexity, environment preparation, reproducibility, Customer delays, third-party systems, dependency failures, access, repair cycles, or other technical constraints.

7. Repair and Reverification

Repair coordination or implementation is included only when expressly stated in the confirmed Code Verification Scope Confirmation.

Where repair and reverification are included, later work remains bounded by the same confirmed requirements unless Customer and FalseGreen affirmatively agree to an amendment. A materially different objective, source, architecture, environment, or acceptance boundary is new scope.

The Service does not include unlimited repair attempts, elapsed time, Customer-caused environment recovery, or a guarantee that the result will become Accepted.

8. Explicit Exclusions

Unless the Code Verification Scope Confirmation expressly states otherwise, the Service does not include:

• review or verification of the entire Customer codebase;
• work outside the confirmed source, artifact, system, or behavior boundary;
• guaranteed discovery of every defect, vulnerability, failure, or harmful behavior;
• comprehensive application-security audit, penetration testing, red-team activity, or threat modeling;
• regulatory, privacy, financial, safety, or legal compliance audit;
• security, safety, model, or product certification;
• accredited attestation;
• legal, insurance, or underwriting opinion;
• complete dependency or supply-chain audit;
• comprehensive performance or load testing;
• deployment to Production Systems;
• production monitoring, hosting, operation, or ongoing maintenance;
• verification of changes made after the fixed source or artifact state; or
• guarantee of successful production operation.

9. Customer Responsibilities

Customer will:

1. identify the bounded work or behavior to be verified;
2. provide materially accurate requirements, acceptance criteria, and technical information;
3. provide lawful and appropriate access to source, artifacts, systems, environments, and evidence;
4. maintain backups, version control, rollback procedures, and operational safeguards;
5. disclose material dependencies, restrictions, and production assumptions;
6. separately approve the exact Code Verification Scope Confirmation;
7. preserve or identify the implementation state presented for verification;
8. promptly disclose material changes to source, configuration, environment, or requirements; and
9. make the final decision to merge, release, deploy, operate, or rely on the implementation.

FalseGreen is not responsible for delay, reduced coverage, incomplete performance, or inaccurate conclusions to the extent caused by incomplete, inaccurate, misleading, unavailable, or untimely Customer information, access, environments, or cooperation.

10. No Guaranteed Favorable Result

Customer is purchasing an independent verification engagement, not a favorable result.

The Service is complete when FalseGreen performs the agreed work and delivers the agreed Deliverables. Completion is not conditioned on:

• an Accepted result;
• every check passing;
• absence of findings or evidence gaps;
• successful repair;
• successful deployment;
• Customer deciding to merge, release, deploy, use, or retain the implementation; or
• Customer agreeing with FalseGreen's engineering conclusions.

A report documenting failure, serious defects, or insufficient evidence may be a fully completed engagement.

11. Automation and AI-Assisted Tools

FalseGreen may use employees, contractors, software, automation, internal tooling, coding agents, foundation models, and other AI-assisted tools in performing the Service.

FalseGreen remains responsible for the contracted verification work. FalseGreen will not knowingly disclose Customer Confidential Information to an external service except as reasonably necessary to perform the Services and subject to appropriate confidentiality, security, or data-handling protections.

Customer-approved restrictions on external tools or technical services must be agreed before the Code Verification Scope Confirmation is approved. If a restriction materially affects feasibility, scope, timing, or fees, the parties may revise the proposed scope. If FalseGreen cannot reasonably perform the Service under that restriction, Section 3.4 applies.

12. Scope Changes

The confirmed Code Verification Scope Confirmation controls the work. FalseGreen is not required to perform work outside that scope.

A new objective, repository, materially changed source, environment, requirement, acceptance criterion, or evidence boundary is new scope even if related to the original engagement.

13. Upfront Payment, Cancellation, and Refunds

The full $19,999 fixed fee is paid at checkout. No additional balance becomes due merely because the Service is completed.

The cancellation and refund provisions of the Agreement apply. For clarity:

• if FalseGreen declines the engagement during scope confirmation before Substantive Performance begins, the full $19,999 payment is refunded without deduction for payment-processing or administrative charges;
• if FalseGreen proposes a materially revised scope and Customer does not approve it before Substantive Performance begins, the full payment is refunded;
• if Customer cancels before Substantive Performance begins, Section 6.3 of the Agreement applies;
• once Substantive Performance begins, the payment is non-refundable except as expressly provided by the Agreement; and
• an unfavorable, Failed, or Incomplete result does not create a refund right.

14. Intellectual Property, Confidentiality, and Reliance

The Agreement governs ownership, licenses, Customer Materials, FalseGreen Materials, confidentiality, and permitted use of Deliverables.

Subject to full payment, Customer may use the Deliverables for its internal business purposes and may share them with its personnel, professional advisers, implementation partners, customers, insurers, or other stakeholders for legitimate business purposes, subject to confidentiality obligations and the scope limitations stated in the Deliverables.

Third parties may not treat the Deliverables as a certification, warranty, guarantee, or statement about software or systems outside the confirmed scope.

15. No Certification or Universal Correctness Promise

The Service provides scoped technical evidence and engineering judgment.

It is not an accredited certification, regulatory certification, security certification, model certification, legal opinion, warranty, absolute correctness guarantee, or promise that no future defect or failure will occur.

Customer remains responsible for production, security, compliance, deployment, operational, and business decisions.

16. Agreement Controls

The Agreement governs warranties, disclaimers, limitation of liability, indemnification, dispute resolution, and other general legal terms.

Except where this Service Order expressly modifies a provision of the Agreement, the Agreement controls.

17. Electronic Acceptance

The checkout process for this Service Order must require an affirmative acceptance control identifying both governing documents. The required control will state substantially:

I have authority to bind the business and agree to the FalseGreen Engineering Services Agreement v1.0 and FalseGreen Code Verification Service Order v1.0.

The control must be unchecked by default or otherwise require an equivalent affirmative action. Both documents must be linked and available before acceptance. FalseGreen will record the accepted Agreement version and Service Order version with the transaction.

The exact Code Verification Scope Confirmation is separately approved under Section 3.3 and must remain reliably associated with the engagement.
